As this trend continues, organizations that fail to adopt AI risk being left behind. And those that do adopt AI may introduce unacceptable risk levels by adopting AI with no governance.

Legal teams must thread this needle carefully, moving from tentative experimentation with AI to a full, responsible, and governed deployment of AI tools.

Understanding AI governance vs. AI policy

When ChatGPT launched in late 2022, legal, IT, and security teams scrambled to get some kind of policy in place to define the rules of the road for these new tools. 

That was a reasonable first move. But it wasn’t enough.

The distinction between AI policy and AI governance is one of the most important things your organization can get right this year. 

Think of it this way: 

  • AI governance is a holistic system – like a city’s government and legal system, including the mayor, the courts, and the city charter that defines who’s responsible for what. It sets the structures and guardrails for laws and policies that protect citizens’ safety, health, and welfare.
  • Policy is a specific set of laws and rules created under that system –- such as traffic laws and building codes. It’s what sets the speed limit at 70 on highways and 30 on residential streets.

A policy can only function inside a governance framework that supports and enforces it. 

A policy document, even if it’s well-crafted, doesn't define who owns AI risk when something goes wrong. It doesn't describe how your organization will evaluate new tools as the technology evolves. It doesn't create accountability across functions or measure whether the rules are actually being followed. 

Governance does all of that.

The foundational pillars of an AI governance strategy

When organizations move from a policy document to a governance framework, there are three foundational steps that need to happen, in roughly this order:

1. Form a Center of Excellence (CoE) 

This is the cross-functional leadership team that owns the governance program – typically the CISO, General Counsel, CHRO, CIO, and Chief Data Officer.

The CoE defines strategy, performs risk assessments, sets organizational objectives, and measures program success. One of its first tasks is establishing a RACI matrix, defining who's responsible and accountable for various AI outcomes across the organization.

2. Adopt a recognized risk framework 

Start with universally recognized standards, such as the NIST AI Risk Management Framework (RMF) and ISO 42001. 

These frameworks give your governance program a recognized foundation and a shared vocabulary for assessing and managing risk. Looking ahead, ISO 42001 certification is already emerging as a differentiator and will likely become table stakes. 

In the same way clients now expect certifications like ISO 27001 or SOC 2 Type 2, they'll increasingly ask for external validation of your AI governance platform. That expectation is going to accelerate.

3. Map the AI landscape 

Before you can govern AI, you need to know where it actually exists in your organization. That means uncovering "shadow AI," the tools employees have adopted on their own, outside of any formal approval process. 

In the NIST RMF framework, this is the MAP function. You can't put guardrails around what you can't see.

The legal, ethical, and regulatory landscape

The regulatory environment around AI is still evolving quickly, but legal professionals can't wait for the picture to fully clarify. There are ethical obligations in place right now.

The ethical duty of competence

Forty states have implemented an ethical duty of competence that explicitly includes understanding the benefits and risks of relevant technology. That means attorneys are already required to understand the AI tools being used in their practice — not at a deep technical level, but enough to supervise them effectively.

And supervision is exactly the right frame. 

AI systems as non-lawyers

The prevailing view from bar associations is that AI systems function like a paralegal or legal assistant, a non-lawyer who requires adequate oversight by an attorney. Attorneys have a duty of supervision and an obligation to maintain client confidence and prevent unauthorized disclosure of confidential information. 

Global regulatory trends

The European AI Act has been in effect for over a year and a half. For organizations providing AI services in the EU, it creates a risk-tiered structure — unacceptable, high, limited, and minimal.

Limited risk requires transparency (letting users know they are interacting with AI) and literacy obligations for all staff involved in creating the services.

U.S. regulation is more fragmented. State-level action is moving faster than federal, with California and New York leading on tech-related legislation and states like Tennessee passing more targeted laws (fun fact: the state's AI-adjacent legislation around deepfakes is aptly named the Elvis Act). Comprehensive federal AI legislation doesn't appear to be coming anytime soon.

That makes planning harder. But it also means organizations that build rigorous governance frameworks now will be better positioned regardless of what regulation eventually arrives.

Critical security and risk management considerations

When addressing security risks, many organizations fail to address four key areas: data privacy and security, data access and agentic AI, vendor assessment, and data poisoning.

Key security blind spots

1. Data privacy and security

This is the number one concern for many legal firms, with good reason. 

Under ABA Model Rule 1.6, attorneys are required to make reasonable efforts to prevent the unauthorized disclosure of client information, and that obligation extends directly to the AI tools they use. When confidential data enters an unsanctioned or poorly vetted AI system, attorneys may be exposing themselves to ethical violations, not just security incidents. 

This is one reason DISCO is built with strict data protections. Client data is never used to train AI models, so legal teams can work with confidence that confidential information stays confidential.

It’s also why data privacy has to be the foundation every other governance decision is built on.

2. Agentic AI identity

As AI agents begin performing tasks on behalf of employees, identity and access management becomes critical. A human employee has credentials and access rights. An AI agent acting on that employee's behalf needs its own machine identity, with clearly defined, role-based access that adheres to the principles of least privilege. 

This is a newer challenge that most organizations haven't fully worked through yet, and it's only going to become more pressing to ensure agents' actions are traceable and verified.

3. Vendor risk assessment

Vendors are increasingly embedding AI into their standard tools, sometimes without notifying customers. That's a problem. Your agreements need documentation confirming that vendors will not train AI models using your data. 

Review your existing contracts. Ask the right questions when evaluating new tools. Don't assume that strong security certifications in other areas mean a vendor has thought carefully about how they're using your data to develop their AI systems.

4. Data poisoning

This one doesn't get enough attention. The risk is straightforward: ensuring that the data an AI system ingests — including the massive public datasets used to train large language models — is accurate and hasn't been maliciously manipulated to alter the model's output or that the AI solution has appropriate guardrails to block malicious commands embedded in the data. 

This threat is hard to detect and potentially difficult to remediate, and any serious AI governance framework needs to account for it.

Governance that doesn't become a gatekeeper

One of the most common failure modes for AI governance programs is over-restriction. The policy becomes a wall rather than a guardrail, and employees work around it using personal devices, public tools, or anything that lets them get the job done.

So prioritize setting the right guardrails – paired with a sanctioned alternative that actually works.

Think of it as a highway on-ramp: guardrails on both sides, but you're moving fast and in the right direction. Giving people a vetted, approved AI tool that's been assessed by your security and legal teams removes the temptation to use something unsanctioned and keeps the organization's data where it belongs.

The same logic applies to training. AI literacy training added to an already full plate is going to create resistance. The better approach is to embed AI-enablement and awareness into your existing security awareness program. 

It’s best to think of AI not as a separate category of risk, but rather, an extension of the technology risks your organization is already managing. 

Looking ahead to agentic AI 

The buzzword cycle in legal tech has moved fast. Generative AI was the defining story of the last two years. In 2026, the conversation is shifting to agentic AI — systems that do more than simply answer questions. They go out and perform actions on behalf of their users.

The shift to agentic AI has real governance implications. AI agents will need identities, permissions, and oversight. The "human in the loop" concept that's been discussed in the abstract will become a practical design requirement.

The next steps for your organization

To keep up with these trends, here are strategic next steps for your organization:

  1. Determine and document organizational goals and objectives as it related to the use of AI
  2. Provide a sanctioned, vetted, and secure AI tool alternative (e.g., a private LLM) to prevent the use of public, unsanctioned tools
  3. Embed AI governance and awareness into existing security awareness training to prevent overwhelming employees
  4. Prioritize verifiability and defensibility of AI output (e.g., using tools that provide citations back to the source documents)
